Terms of service

Last updated: October 29, 2026 · Version 2.1a

At a glance. Please read these Terms carefully. They affect your legal rights.

  • Arbitration for US customers. If you live in the United States, Section 21 says most disputes will be decided by binding individual arbitration, not in court. You and we both give up the right to a jury trial and to a class action. Section 21 applies to you only if you accepted these Terms after we showed you a notice next to the button you clicked, as Section 1.4 explains. Our cart and product pages don't show that notice yet. If it applies, you can opt out within 30 days after you first accept Terms that include Section 21 (Section 21.11). Section 21 does not apply if you live outside the United States.
  • 30-day satisfaction promise. If you're not completely satisfied with a product, contact us within 30 days after delivery, and we'll refund the price you paid for it, plus taxes, whether you've opened it or not. If we refund a whole order, we also refund its shipping charge. You don't need to send opened products back. There's no restocking fee. If a product arrives damaged, defective or wrong, tell us within 30 days after delivery, opened or not, and we'll replace it or refund you in full (Section 8).
  • Shipping. We ship in-stock orders within 2 business days, and most orders ship the same business day or the next one. Some products can be ordered while they're out of stock, and the product page may not say so. If we can't ship your order on time, we'll tell you, and you can cancel for a full refund (Section 7).
  • Subscriptions. If you subscribe, we charge you automatically on the schedule you choose until you cancel. You can cancel at any time, online in your account or by email or phone. If you cancel by 11:59 PM Central Time on the day before your next order date, you won't pay for that order (Section 9).
  • Health. Our products are dietary supplements. They are not intended to diagnose, treat, cure or prevent any disease. Please read Section 6 before using them. If you have a reaction, stop using the product, contact a healthcare professional and tell us (Section 6.6).
  • Your legal rights. Nothing in these Terms takes away rights you have under consumer-protection laws that can't be waived by contract. Section 23 describes additional rights for customers in certain US states, Canada (including Québec), the European Union, the United Kingdom, Australia, New Zealand and Hong Kong.

1. Who we are and how these Terms work

1.1 Who we are. The website motherearthlabs.com and its online store (the "Store") are operated by High Coast Capital L.L.C., doing business as Mother Earth Labs USA ("Mother Earth Labs USA," "Mother Earth Labs," "we," "us" or "our"). High Coast Capital L.L.C. is a Georgia limited liability company registered to do business in Texas. Our address is 24210 Scenic Loop Road, San Antonio, Texas 78255, USA. Phone: (210) 408-2800. Email: customersupport@motherearthlabs.com. Our Legal Notice gives more details about our company.

1.2 What these Terms cover. These Terms of Service ("Terms") apply when you visit our website, create an account, or buy or subscribe to products (online, through the Shop app or in person). They also apply when you join our rewards program, take a product quiz, post a review, chat with us, contact customer support, or use our emails, texts and related features. Together, we call all of these the "Services."

1.3 Other documents that apply. These documents are part of these Terms when they apply to you:

Purchases through a wholesale account (including orders we invoice to it) and private-label orders are governed instead by the written terms that apply to that account or our written agreement with you (Section 3.5).

Our Privacy Policy, Consumer Health Data Privacy Policy, Legal Notice, Accessibility Statement and Contact Information page tell you about our practices and how to reach us. They are notices, not contract terms. Each of these documents is available at the address linked in this Section 1.3.

If a document listed in the first paragraph of this Section 1.3 conflicts with these Terms:

  • for the Refund Policy, Shipping Policy and Subscription Terms and Cancellation Policy, whichever gives you more rights applies;
  • the terms of a specific promotion, the Rewards Program Terms and the SMS Terms control for that promotion or program;
  • Sections 21 and 22 always control over any conflicting term about disputes, governing law or courts; and
  • Section 23 controls for customers in the places it covers.

Otherwise, these Terms control.

1.4 How you accept these Terms. You accept these Terms when you place an order, pay an invoice we send you, subscribe or create an account. These Terms are linked in the footer of every page of our website. Section 21 (arbitration) applies to you only if you accepted these Terms by clicking a button to check out, pay, subscribe or create an account after we showed you a notice about these Terms. That notice must appear next to, or directly above or below, the button and say that clicking it means you agree to these Terms. It may have been shown on your current order or an earlier one. Our cart and product pages don't show this notice yet. If you only browse our website, these Terms apply to your use of it to the extent the law allows, but browsing alone does not make Section 21 apply to you. If you don't agree to these Terms, please don't use the Services.

1.5 Keeping a copy. Each version of these Terms shows the date it was last updated, and the version in effect when you placed an order applies to that order (Section 24.1). We keep a dated copy of each version we publish. Your order confirmation email includes your order details, and these Terms are always linked in our website footer. If you live in Canada, the EU, the UK or Australia, the law of your province or territory (in Canada) or your country may entitle you to more information about your order; Sections 23.2, 23.4 and 23.5 explain your rights. You can save or print these Terms from this page at any time, or ask us for a copy of the version that applied to your order.

2. Eligibility and accounts

2.1 Age. You must be at least 18 years old, or the age of majority where you live if that is higher, to buy from us or create an account. For example, the age of majority is 19 in Alabama, Nebraska, British Columbia, New Brunswick, Newfoundland and Labrador, Nova Scotia and the Canadian territories, and 21 in Mississippi and Puerto Rico. In New Zealand, you must be at least 18 years old, even though the age of majority there is 20.

2.2 Children. The Services are not directed to children under 13, and we don't knowingly collect personal information from them. If you believe a child has given us personal information, contact us and we will delete it. Our products are intended for people 18 and older. Don't give a product to anyone under 18 unless its label says it is suitable for them and a healthcare professional agrees.

2.3 Age checks for certain products. Some states, including New York, restrict the sale of dietary supplements marketed for weight loss or muscle building to people under 18, and California has passed a similar law. If you order one of these products for delivery to a place with such a law, we may verify that you are 18 or older in a way the law allows, as our Shipping Policy explains. For example, we may check your details against age-verification data or require an adult signature at delivery, at no extra charge. If we try to verify your age and can't, we'll contact you. You can give another address, or we'll cancel the order and refund you in full.

2.4 Your account. Give us accurate information and keep it up to date. Keep your login details confidential. You are responsible for activity in your account, except activity that happens because of our failure to protect it or that happens after you tell us your account has been compromised. Tell us right away if you suspect unauthorized use. You may not sell or transfer your account. We will never ask you for your password, your full card number or a login code by email, text, phone or chat.

3. Our products

3.1 Product information. We work to describe our products accurately, including ingredients, serving sizes and directions. Please read the label on the product you receive before use. If the label differs from our website in a way that matters to you, follow the label and contact us; we'll handle it under Section 8.5. Labels, product information and availability may differ from country to country.

3.2 Changes to formulas and packaging. We may update formulas, labels, packaging and product descriptions from time to time. If we make a significant change to a product you've ordered but we haven't shipped yet, we'll tell you before shipping and you can cancel for a full refund. Product photos are for illustration; packaging and colors may differ slightly.

3.3 Availability and limits. Products are available while supplies last. We may discontinue products, limit quantities per order, customer or household, and decline to ship certain products to certain places.

3.4 Personal use only. Unless you buy through an approved wholesale account (Section 3.5), you may buy products only for your own personal or household use, or as gifts. You may not buy products for resale or commercial distribution, including on Amazon or other marketplaces, without our written permission.

Québec: the next sentence does not apply to consumers in Québec.

We may cancel orders that we reasonably believe break this rule and refund you in full.

3.5 Wholesale and private-label customers. Businesses can apply for a wholesale account on our website. Applying doesn't guarantee approval. If we approve your account, your wholesale purchases (including orders at wholesale prices on our website and orders we invoice to you) are governed by the written terms that apply to your account or our written agreement with you. For those purchases, those terms control over these Terms, including on how disputes are resolved, and you may resell products as they allow. Section 21 does not apply to those purchases. Private-label and contract-manufacturing work is covered only by separate written agreements. These Terms still apply to your use of our website.

3.6 Products bought from other sellers. Section 8 and our Refund Policy cover products bought from us. If you bought our products from a retailer or another seller, that seller's return policy applies to your purchase, but you keep any rights the law gives you against us as the manufacturer. We can't vouch for products sold by sellers we haven't authorized, which may be old, badly stored or tampered with. You can always contact us about the safety or quality of any of our products, wherever you bought them.

4. Orders

4.1 Placing an order. Before you submit an order, checkout shows the products, quantities, prices, taxes, shipping options and charges (with estimated delivery times, where checkout shows them), any import duties and taxes we collect, the total and the currency, and lets you review and correct mistakes. When you click the final order button (labeled "Pay now" or with similar wording that clearly means you must pay), you are placing an order with an obligation to pay.

4.2 When a contract is formed. We'll email you an order confirmation when we receive your order. That email confirms that we received it.

Québec: the rest of Section 4.2 and Sections 4.3 and 4.4 do not apply to consumers in Québec (see Section 23.3).

A contract for the products is formed when we accept your order, which happens when we email you that your order has shipped.

4.3 When we may decline or cancel an order. Before we accept an order, we may decline or cancel all or part of it if:

  • the product is unavailable;
  • there is an obvious error in a price or description;
  • we reasonably suspect fraud, unauthorized resale or a breach of these Terms;
  • the order exceeds quantity limits; or
  • the law doesn't allow us to ship the product to you or to your address.

We may contact you to confirm an order before we accept it. If we cancel any part of an order you've paid for, we'll tell you and refund the full amount you paid for the canceled items, including related shipping and taxes, to your original payment method within 7 business days.

4.4 Pricing errors. If a product is listed at a clearly incorrect price because of an error, we'll contact you before shipping and you can choose to buy at the correct price or cancel for a full refund. We will never charge you more than the price shown at checkout without your consent.

4.5 Buying in person. If you buy from us in person, for example at an event, Sections 6 and 8 apply to your purchase, and you can ask for a refund by contacting us. Section 21 applies to an in-person purchase only if you have also accepted these Terms online after seeing the notice that Section 1.4 describes.

5. Prices, taxes and payment

5.1 Currency. Prices are in US dollars (USD) unless our website shows a different currency for your country. If your card issuer converts the currency, it may charge you a fee.

5.2 What the price includes. The price shown for a product includes all mandatory fees we charge, except taxes and shipping, which are shown at checkout before you pay. We don't charge separate handling, service or processing fees. If you are in the EU or the UK, the product prices shown to you may not include VAT. Checkout shows any tax we charge before you pay, and Section 5.3 explains what happens if a carrier asks you to pay VAT on delivery. Prices, discounts and promotions can change, but the price that applies to your order is the one shown at checkout when you place it.

5.3 Taxes and duties on international orders. For orders shipped outside the United States, checkout (or the invoice we email you) shows any import duties and taxes we collect. If they are not included in your total, the carrier or customs authority may charge them, plus a brokerage or handling fee, when the package arrives, and you are responsible for paying them. For EU and UK orders, VAT and import duties are our responsibility. If a carrier asks you to pay VAT, duties or customs fees on delivery, we'll reimburse you, as our Shipping Policy (Section 14.2) explains. Packages to US territories outside US customs territory (American Samoa, Guam, the Northern Mariana Islands and the US Virgin Islands) may also be charged local taxes or fees on delivery, as our Shipping Policy (Section 4.3) explains.

5.4 Payment. We accept the payment methods shown at checkout, which may include credit and debit cards, Shop Pay, Shop Pay Installments, PayPal, Apple Pay and Google Pay, and in some countries local methods such as Bancontact, MB WAY or Satispay. Shop Pay Installments is offered by a third-party lender and is subject to its approval and terms. By submitting payment details, you confirm that you are authorized to use the payment method. You also authorize us and our payment processors to charge it for your order total and, if you subscribe, for each subscription order under Section 9. Please keep your payment details current.

5.5 Promotions and offers. Discount codes and offers are subject to the terms shown with them (see Section 10). Prices may differ by country and currency. We may also make offers to some customers that others don't receive. For example, an offer may depend on whether you are a new customer, your past orders, your email preferences, or your membership in our rewards program or a verified group. If the law where you live requires us to tell you that a price was personalized using automated processing of your personal data, we'll tell you when we show you the price.

6. Health and safety information

6.1 Dietary supplements. Our products are dietary supplements. These statements have not been evaluated by the Food and Drug Administration. These products are not intended to diagnose, treat, cure, or prevent any disease.

6.2 Not medical advice. Information on the Services, including product pages, articles, emails, social media posts, chat and email replies (including replies from our AI support assistant) and replies from our team, is general information. It is not medical advice and is not a substitute for advice from your doctor or another qualified healthcare professional. Any product quiz or product suggestions we offer are based only on the information you give and general product information; they don't take your full health history into account. Our team can't advise you about using our products for any disease or medical condition. Never ignore professional medical advice or delay seeking it because of something you read on the Services.

6.3 Check with a healthcare professional first. Talk to a healthcare professional before using any supplement if you are pregnant, nursing or trying to become pregnant; are under 18; take prescription or over-the-counter medication; have a medical condition; or are scheduled for surgery. Supplements can interact with medications and other supplements.

6.4 Use products as directed. Read the entire label before use. Follow the directions and do not exceed the recommended serving. Check the ingredient and allergen information on the label, especially if you have allergies or sensitivities. Do not use a product if its safety seal is broken or missing, or after any expiration or best-by date printed on it. Store products as the label directs and keep them out of reach of children.

6.5 Stop and get help if needed. Stop using a product and contact a healthcare professional if you have an unexpected reaction. In an emergency, call 911 or your local emergency number. For poisoning or an overdose, call Poison Help at 1-800-222-1222 in the US, or your local poison control center.

6.6 Report a reaction to us. Please tell us about any side effect or adverse reaction so we can look into it and meet our FDA reporting obligations. Call (210) 408-2800 during support hours, or email customersupport@motherearthlabs.com at any time with the subject line "Product Reaction." You can also tell us through chat, a review or social media. Our AI support assistant may answer emails and chats first, so please ask for a team member in your message to make sure a person sees your report. Please include the product name and the lot number from the label, if you can. You can also report to the US Food and Drug Administration at 1-800-FDA-1088 or www.fda.gov/medwatch. In Canada, you can also report to Health Canada's Canada Vigilance Program. In other countries, you can report to your national health or food-safety authority.

6.7 Results vary. Individual results vary. Reviews and testimonials describe individual experiences, and you may not get the same results.

6.8 Athletes. Unless a product's label shows a third-party sport certification, we don't represent that it is suitable for athletes subject to anti-doping testing. If you are subject to testing, check with your sport's governing body before use.

6.9 California Proposition 65. Some of our products carry a California Proposition 65 warning on their labels. Our Proposition 65 page, linked as "CA Warning / Prop 65" in our website footer, shows the warning and explains it. Please read any warning before buying or using a product.

6.10 Safety notices and recalls. If we recall a product or issue a safety notice, we'll post it on our website. We'll also contact the customers we know bought the affected product, using the contact details in our records. Please follow the instructions in the notice. For a recalled product you bought from us, we'll offer you a replacement or a full refund, including shipping, whether or not the product has been opened.

7. Shipping and delivery

7.1 Shipping times. We ship in-stock orders within 2 business days. Most orders ship the same business day or the next one. Preorders ship by the estimated date shown on the product page, if one is shown (Section 7.7). Some products can also be ordered while they're out of stock without a preorder label. We ship those when they're back in stock, and Section 7.2 applies if we can't ship within 2 business days. Shipping options and costs are shown at checkout, and some options may also show an estimated delivery time. Our Shipping Policy gives typical delivery times. Delivery estimates are not guarantees. If we can't ship an order within the time stated in our Shipping Policy, on the product page or at checkout, or within 30 days if no time is stated, Section 7.2 applies.

7.2 Delays. If we can't ship within the time we stated (or 30 days, if we didn't state one), we'll tell you before that time passes. We'll give you a revised date if we have one and let you choose to wait or cancel for a full refund. If you don't reply, we may ship within 30 days after the original date; for any longer or indefinite delay, we'll cancel and refund you unless you expressly agree to wait. If we then can't meet a revised date, we'll tell you again before it passes and cancel and refund you unless you tell us you still want to wait. Refunds under this section are issued within 7 business days.

7.3 Title and risk of loss. Ownership of the products, and the risk of loss or damage, pass to you when the products are delivered to the shipping address you gave us. If you live in the EU or the UK, the risk of loss or damage passes when you, or someone you have named to receive the products (other than the carrier), take physical possession of them.

7.4 Lost or damaged packages. If your package is lost in transit, we'll send a replacement at no cost or, if you prefer, a full refund, including shipping. We treat a package as lost if its tracking hasn't updated for 14 days (US addresses) or 21 days (addresses outside the US); please tell us within 30 days after that. This time limit doesn't shorten any period the law gives you. Our Shipping Policy explains how this works, including what happens if tracking shows a package as delivered but you don't have it. If a package arrives damaged, Section 8.5 applies.

7.5 Check your address. Please make sure your shipping address is correct. If a package comes back to us because it couldn't be delivered (for example, because of an incorrect or incomplete address you provided, or because it was refused or not collected), we'll contact you. Once you confirm the right address and agree to the reshipping cost we quote, we'll reship it; otherwise we'll refund the product price and any taxes charged on it. We don't charge carrier correction or return-to-sender fees. We may not be able to change an address after an order ships.

7.6 Where we ship. We ship to the countries and regions offered at checkout. Checkout offers only places in this list: the United States (including US territories and APO, FPO and DPO addresses), the Marshall Islands, the Federated States of Micronesia and Palau (which our checkout may list among US states and territories), Canada (including Québec), the United Kingdom, the 27 countries of the European Union, New Zealand and Hong Kong. We may also accept an order you ask us for by email or phone, for delivery to Australia, or to New Zealand or Hong Kong when checkout doesn't offer them. We then email you an invoice with a link to pay, and you accept these Terms when you pay, as Section 1.4 describes. We don't ship anywhere else. We may stop accepting orders for a country at any time. That doesn't affect orders we've already accepted. Some products are not available in every country because of local rules. Our Shipping Policy (Sections 3.2 and 14) explains what happens if you order a product we can't ship to you. For Canada, see also Section 23.2. For Australia, New Zealand and Hong Kong, see also Sections 23.5 to 23.7.

7.7 Preorders and back-in-stock alerts. Some products can be preordered. When we mark a product as a preorder, the product page says so and may show when we expect to ship it. Some out-of-stock products can also be ordered without a preorder label (Section 7.1). We charge you when you place the order unless checkout says otherwise. If we can't ship by the date we showed you, or within the time Section 7.1 describes if we didn't show one, Section 7.2 applies. You can cancel a preorder, or an order for an out-of-stock product, for a full refund at any time before it ships. Signing up for a back-in-stock alert is not an order and doesn't reserve a product.

8. Returns, refunds, cancellations and our Limited Warranty

8.1 Canceling before your order ships. To cancel an order, contact us as soon as possible at (210) 408-2800 or customersupport@motherearthlabs.com, or reply to your order confirmation email. If your order hasn't shipped, we'll cancel it and refund you in full, including shipping and taxes, within 7 business days. Most orders ship the same business day or the next one, so please contact us quickly. Once an order ships, Section 8.2 applies.

8.2 Our 30-day satisfaction promise. If you're not completely satisfied with a product you bought from us, for any reason, contact us within 30 days after delivery. We'll refund the price you paid for it, plus any taxes we charged on it, whether you've opened or used it or not. If we refund every product in an order, we also refund the original shipping charge for that order. Each separately sealed item (for example, each bottle or individually sealed stick pack) counts separately, so you can ask for a refund for some items and keep the rest. We don't charge a restocking fee. Section 1 of our Refund Policy explains when the 30 days start.

8.3 Opened products. Our 30-day satisfaction promise covers opened products, and you don't need to send them back; for health and safety reasons, we can't resell them. After those 30 days, we accept returns of opened products or products with a broken or missing safety seal only under Section 8.5 or where the law gives you a right to return them.

8.4 How returns and refunds work. To ask for a refund, contact us (Section 26). If our AI support assistant answers first, ask for a team member. We'll tell you whether we need any unopened products back. If we do, send them within 14 days after we ask, by a standard tracked service, and we'll refund the postage you paid. If you use our online returns portal and it says a product can't be returned, that check is automatic: contact us instead, and a team member will review your request. When we refund only some products in an order, the original shipping charge is not refundable unless the refund is due to our error or the law requires otherwise (see Section 23.2 for Canada and Section 23.4 for the EU and the UK). We refund to your original payment method within 7 business days after you contact us or, if we ask you to send products back, within 7 business days after we receive them. If you paid with Shop Pay Installments, the refund is applied to your installment plan under the lender's terms.

8.5 Limited Warranty: damaged, defective or incorrect products. High Coast Capital L.L.C., doing business as Mother Earth Labs USA (contact details in Section 26), gives this Limited Warranty to the purchaser. It warrants that each product will arrive undamaged, with its safety seal intact, free of defects, within any expiration or best-by date printed on it, and as ordered. If it doesn't, contact us within 30 days after delivery with your order number, and a photo if you can. We'll replace the product or refund you in full, including the original shipping charge, at no cost to you, and we'll pay for return shipping if we ask for the product back. It doesn't matter whether the product has been opened. We issue refunds under this warranty within 7 business days after we confirm the problem. This Limited Warranty doesn't limit any implied warranty or shorten any longer period the law gives you. For customers in the United States: Some states don't allow the exclusion or limitation of incidental or consequential damages, so the limitations in Section 19 may not apply to you. This warranty gives you specific legal rights, and you may also have other rights that vary from state to state. If you live in Australia, Section 23.5 and our Limited Warranty notice for Australia (Section 16.6 of our Refund Policy) also apply.

8.6 Subscription orders. Our 30-day satisfaction promise and Limited Warranty apply to each subscription order, whether you've opened the products or not. If you're charged for a subscription order you didn't want, contact us before it ships and we'll cancel it and refund you in full. If it has already shipped, Section 8.2 applies. Section 9.5 explains how a later change to our Refund Policy applies to renewal orders.

8.7 Your rights under the law. This Section 8 is in addition to any rights you have under the law where you live, including the cancellation rights described in Section 23.

9. Subscriptions and automatic renewal

9.1 How subscriptions work. Products marked "Subscribe and save" can be bought as a subscription when the subscription option is shown for your delivery address. The option is currently shown for addresses in the United States, Canada, the European Union and the United Kingdom. If you live in the EU or the UK, Section 23.4 of these Terms and Section 18.4 of our Subscription Terms and Cancellation Policy also apply. We don't currently offer subscriptions for delivery to Australia, New Zealand or Hong Kong (Section 18.5 of our Subscription Terms and Cancellation Policy). A subscription automatically ships products and charges your payment method on a recurring schedule until you cancel. Our Subscription Terms and Cancellation Policy, linked on our product pages and at checkout when you choose a subscription, gives the details. This Section 9 summarizes it:

  • You choose to receive an order every 1, 2, 3 or 4 months, and you're charged for each order on the same schedule. The product page currently names these plans "Deliver Every 30 Days," "Deliver Every 60 Days," "Deliver Every 90 Days" and "Deliver Every 120 Days," but each plan runs by calendar month. You pay as you go; we don't offer prepaid plans.
  • Each subscription order costs 10% less than the one-time purchase price shown when you subscribe. If we permanently lower the one-time price of a product in your subscription, we'll lower your subscription price within 30 days.
  • There's no minimum number of orders and no sign-up or cancellation fee.
  • We charge your first order at checkout. After that, we charge you on each order date, which is usually the same day of the month as your first order. We ship each order within 2 business days after we charge it, unless a product in it is out of stock (Section 7.2 then applies).
  • Our email sign-up discount (WELCOME10) and GovX ID discounts can't be used on subscription orders. Most other discount codes can't be used on subscription orders either; checkout shows whether a code applies before you pay.

If this Section 9 and the Subscription Terms and Cancellation Policy differ, Section 1.3 explains which applies.

9.2 What we show you before you subscribe, and your consent. Before you pay, the product page shows you the subscription price and how often you'll receive and pay for orders, and it says you can cancel anytime. When you choose a subscription, the product page and checkout also link to our Subscription Terms and Cancellation Policy, which explain that charges continue until you cancel, that there's no minimum commitment and how to cancel. By completing checkout with a subscription, you agree to these automatic renewal terms. If we ever offer a free trial or introductory price, we'll also show how long it lasts and the price that applies after it ends.

9.3 Your authorization. By subscribing, you authorize us to charge your payment method on each order date at your subscription price (or a new price we've notified you of under Section 9.5 or, in Québec, a new price you've expressly agreed to under Section 23.3), plus applicable taxes and shipping, until you cancel. If a payment fails, you also authorize the retries in Section 9.7. Taxes can change if tax rates change. The shipping charge changes only if you change your address, products or quantities, or we change it under Section 9.5 (in Québec, only with your express consent under Section 23.3). After you subscribe, we email you an order confirmation. Our Subscription Terms and Cancellation Policy, which explain the subscription terms and how to cancel, stay available on our website, and we'll email you a copy if you ask. We keep a record of your subscription order, which shows the subscription you agreed to and when, for at least 3 years, or until 1 year after your subscription ends if that is later.

9.4 How to cancel. You can cancel at any time online: log in to your account, open "Subscription management" (or go to motherearthlabs.com/apps/subscriptions), select your subscription and choose the cancel option. You can also cancel by emailing customersupport@motherearthlabs.com or by calling (210) 408-2800 during support hours (Section 26). If you cancel by email or phone, we'll cancel and confirm by email within 1 business day. You never have to accept an offer or answer a question to cancel: if the online page asks you to, you can cancel by email or phone instead. If you cancel by 11:59 PM Central Time on the day before your next order date, you won't pay for that order. If we charge you for it anyway, we'll cancel that order and refund the charge in full. Renewal charges can run at any hour, so canceling a day or more ahead avoids a charge and refund. Cancellation takes effect right away, and there is no fee. An order that has already been charged will ship unless you ask us to cancel it (Sections 8.1 and 8.6).

9.5 Changes we make to your subscription. Section 11 of our Subscription Terms and Cancellation Policy explains the changes we may make and the notice we give. Section 14 of those terms explains how a later change to our Refund Policy applies to renewal orders: if it reduces your refund rights, we'll email you at least 30 days before it applies, and you can cancel before then at no cost. If you live in Québec, Section 23.3 explains how changes work for you.

Québec: the rest of this Section 9.5 does not apply to consumers in Québec.

We may change your subscription price, the products or formulas in your subscription, the shipping charge we set for renewal orders, and the plans and account features we offer (such as skip, pause and payment options). We'll change prices, products or shipping charges only for a valid reason, such as changes in our costs, taxes or the law, and we won't change your subscription price more than twice in any 12-month period. We may also propose a change to any other term of your subscription, with the notice below, but it applies to you only if you agree to it. We'll email you before a change to your price, products or shipping charge takes effect. If you live in the United States, we'll email you at least 14 and no more than 30 days before the first order the change applies to. If you live in Canada, the EU or the UK, we'll email you at least 30 and no more than 60 days before that order. The email will show the old and new terms side by side, explain why, give the date the change takes effect and tell you how to cancel. You can accept a change to your price, products or shipping charge, or to the plans and features we offer, by doing nothing. Or you can refuse it by canceling, with no fee or penalty, at any time up to 30 days after it takes effect. If you cancel in that time, we'll refund the difference between what you paid and what you would have paid before the change for any order at the new terms. If you didn't affirmatively agree to a price increase, you can instead choose a full refund of the first order at the higher price. To do this, cancel within 14 days after that charge. If the order hasn't shipped, we'll cancel it. If it has shipped, contact us within 30 days after delivery, and we'll refund the order in full, whether you've opened the products or not. You don't need to send opened products back. If we ask you to send unopened products back, we'll send you a free return label or refund the postage you paid. If we stop offering a plan or feature you use, we'll give you the same notice, and you can choose another option or cancel.

9.6 Reminders. You can see your next order date at any time in "Subscription management." We may email you a reminder before a renewal order, but we don't yet promise a reminder before every order or once a year, so please check your next order date there. If we ever offer a free trial or introductory price that ends with a price increase, we'll email you 7 to 10 days before it ends with the end date and the new price.

9.7 Managing your subscription and failed payments. "Subscription management" lets you manage your subscription online. Depending on the options it shows, you can skip or reschedule an order, pause or restart your subscription, change how often you receive orders, change products or quantities, update your shipping address or update your payment method. You can also contact us to make any of these changes; to update your payment method, we'll email you a secure link. Changes made before an order is charged apply to that order. We'll never send you a different product, or charge you for one, unless you agree. If a payment fails, we won't ship the order until payment goes through. We may email you to ask you to update your payment method, and we may try the payment again over the following days. If it still fails after the last retry, we won't ship that order, and your subscription may be paused or canceled; check "Subscription management" or contact us. We don't charge a fee for a failed payment.

9.8 If we end a subscription. We may end a subscription, for example if a product is discontinued, by telling you at least 30 days in advance (60 days in Québec). If we must stop sooner because of a product recall, a safety concern, a legal requirement or a supply failure outside our control, we'll tell you as soon as we can. You won't be charged for orders that aren't sent.

10. Promotions, rewards, gift cards and partner programs

10.1 Promotions. Discount codes and promotions are subject to the terms shown with them, including any expiration date, eligibility rules and limits. Unless those terms say otherwise, codes are limited to one per order, can't be combined, have no cash value and can't be applied to past orders. We may cancel codes that were obtained or used fraudulently or against their terms. Some offers, such as our email sign-up discount, are given in exchange for your personal information; our Privacy Policy explains how these offers work and how to withdraw. Contests and sweepstakes have their own official rules.

10.2 Gift cards. If we sell gift cards, they don't expire and have no fees. They can't be exchanged for cash except where the law requires. Please treat gift cards like cash; we may not be able to replace lost or stolen cards.

10.3 Affiliates, ambassadors and partners. Some people who post about our products receive commissions, free products or other benefits from us. They must clearly disclose that connection, never say a product treats, cures or prevents a disease, and describe our products only in ways consistent with the product information we provide. They can't change these Terms or make promises on our behalf. If you use an affiliate's or partner's link or code, we tell that partner, and the service that runs the program, that a purchase was made so they can be paid, as our Privacy Policy explains. If you see a post about our products that seems misleading or doesn't disclose a connection to us, please tell us.

10.4 Rewards program. If you join our rewards program, you can earn points on eligible purchases and redeem them for discounts, as our Rewards Program Terms describe. Points have no cash value, and we may remove points earned on products we refund or cancel, whether or not you sent them back. Points never expire just because time passes, but they may expire after a period without account activity, as the Rewards Program Terms explain. Reward codes you get with points don't expire; if one ever shows an expiration date or stops working, contact us and we'll replace it. We'll give you at least 30 days' notice before we end the program or change it in a way that reduces your benefits. In Québec, we give 60 to 90 days' notice of any change to the program or of its end (Section 9.5 of the Rewards Program Terms).

10.5 Discounts that need verification. Some discounts are only for verified groups, such as our GovX ID discount for eligible groups shown on the offer (for example, military members and veterans). GovX, a third party, checks your eligibility under its own terms and privacy policy and tells us the result. Unless the offer says otherwise, these discounts give you a single-use code, apply to one-time purchases only (not subscriptions) and can't be combined with other discounts. We may cancel a discount obtained with false information.

11. Reviews and other content you submit

11.1 Your Content. "Your Content" means reviews, ratings, photos, videos, questions, comments, ideas, suggestions and other material you submit to us or through the Services.

11.2 You keep ownership and give us a license. You keep ownership of Your Content. You give us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, publish, distribute and adapt Your Content in any media (for example, resizing it, translating it or quoting part of it without changing its meaning). This license is for operating, improving and promoting the Services and our products, and for identifying you by the name or handle you provide. We may sublicense these rights only to our service providers and to platforms and retailers that display our reviews, and we may transfer them only to a successor of our business. The license ends when you delete Your Content or ask us to remove it; we'll stop new uses within a reasonable time, but we don't have to recall materials already printed or copies others have already shared. We won't use your name, photo, voice or likeness in advertising, paid or unpaid, outside the review sections of our website and the platforms that display our reviews, without asking you first.

11.3 Honest reviews are welcome. We want honest reviews, positive or negative. Nothing in these Terms limits your right to post an honest review or opinion about us or our products anywhere, and we will not penalize you for doing so.

11.4 How we moderate reviews. Our team reads every review before it's published. We publish reviews of every star rating, positive and negative, and we apply the same standards to all of them. We don't publish every review we receive. We decline to publish, or remove, only content that:

  • contains personal or confidential information;
  • is harassing, abusive, obscene, sexually explicit or discriminatory;
  • we reasonably believe is fake, or is clearly false or misleading;
  • is wholly unrelated to our products or service;
  • contains spam, links or advertising;
  • infringes someone else's rights; or
  • describes a product as diagnosing, treating, curing or preventing a disease, which the law doesn't allow us to promote. We apply this rule whatever the rating, and we may invite you to resubmit your review without that statement.

We never withhold or remove a review because it is negative or because it reports a side effect or reaction, and we may contact you to follow up under Section 6.6. We don't edit reviews to change their meaning. If we don't publish your review, you can ask us why.

11.5 Verified reviews. Reviews labeled "Verified" (or similar) come from people whose order for the product appears in our order records. Those records can include products we sent free, for example as samples, so the label may also appear on a review of a product the reviewer didn't pay for. Reviews without that label may come from people whose purchase we couldn't confirm. Reviews shown for a product are about that product unless we clearly say otherwise.

11.6 Incentives and connections. We invite reviews from all buyers, not only those we expect to be satisfied. We currently offer a single-use discount code for a future purchase (10% off) to anyone who submits a review from our review-request email, and we may offer other rewards for reviews. The reward never depends on whether the review is positive or negative. Reviews on our website don't currently show whether the reviewer received a reward. Our employees and their families, and our affiliates and ambassadors, may review our products only if their connection to us is clearly disclosed. If you post about our products anywhere and have a connection with us (such as free products, payment or an affiliate commission), you must clearly disclose it.

11.7 Your promises about Your Content. You confirm that Your Content is your own or you have permission to share it; it reflects your genuine experience; it doesn't violate anyone's rights or any law; and it doesn't contain viruses or harmful code. Don't use a false identity or mislead anyone about who created Your Content.

11.8 Ideas and feedback. If you send us ideas or suggestions, we may use them without any obligation to keep them confidential or pay you.

11.9 Content from others. Reviews and other content posted by other people reflect their views, not ours.

12. Our intellectual property

12.1 Ownership. The Services and their content, including text, images, graphics, logos, videos, product names and designs, and the way they are selected and arranged, are owned by us or our licensors and protected by intellectual property laws. This does not include Your Content or content owned by others.

12.2 Your permission to use the Services. We give you a limited, revocable, non-transferable permission to view and use the Services for your personal, non-commercial use (or, for approved wholesale accounts, as their written terms or agreement with us allow). You may not copy, reproduce, distribute, modify, create derivative works from, publicly display or commercially use any part of the Services without our written permission, except as the law allows (for example, sharing a link to a page).

12.3 Trademarks. Mother Earth Labs, our logos and our product names are our trademarks. You may not use them without our written permission (which may be given in a written agreement with us), including in ads, domain names, social media handles or marketplace listings. Shopify's name and logo are trademarks of Shopify. Other trademarks belong to their owners. We reserve all rights not expressly granted in these Terms.

13. Acceptable use

You agree not to:

  • break any law, or these Terms, through your use of the Services;
  • give false information, impersonate anyone or misrepresent your connection with anyone;
  • post fake reviews or reviews you know are false, or review a product in exchange for something of value without disclosing it;
  • harass, threaten, abuse or defame anyone, including our staff;
  • send spam, chain letters or unsolicited advertising;
  • upload viruses or other harmful code;
  • scrape, crawl or copy the Services using bots, scripts or other automated means (except search engines that follow our robots.txt file), or use automated means to place orders, without our written permission;
  • use content from the Services to train artificial intelligence or machine-learning models without our written permission;
  • try to trick our AI support assistant (Section 17.6) into giving discounts, information or responses it isn't meant to give;
  • get around quantity limits, security features or access controls;
  • misuse discounts, rewards or referral programs, for example by opening multiple accounts, using codes you aren't eligible for, or selling or publicly posting single-use codes;
  • buy products for unauthorized resale;
  • collect other people's personal information through the Services;
  • use our content or trademarks to promote other products; or
  • interfere with the Services or anyone else's use of them.

We may investigate suspected violations and take the steps described in Section 24.

14. Copyright and content complaints

We respect intellectual property rights. If you believe content on the Services infringes your copyright, send a written notice to our copyright agent that includes:

  • your physical or electronic signature;
  • identification of the copyrighted work;
  • identification of the material you believe infringes it, with enough detail for us to find it (such as a URL);
  • your name, address, phone number and email;
  • a statement that you have a good-faith belief that the use isn't authorized by the copyright owner, its agent or the law; and
  • a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

Copyright Agent: High Coast Capital L.L.C., doing business as Mother Earth Labs USA, Attn: Copyright Agent, 24210 Scenic Loop Road, San Antonio, Texas 78255, USA; phone (210) 408-2800; customersupport@motherearthlabs.com (subject line: "Copyright Notice").

If you believe material you posted was removed by mistake, you may send a counter-notice as described in 17 U.S.C. § 512(g). We will, in appropriate circumstances, close the accounts of repeat infringers.

Other content concerns. If you think other content on the Services (such as a review) is illegal or breaks these Terms, email customersupport@motherearthlabs.com with the subject line "Content Concern." Tell us where the content is and why you are concerned. We'll review it and let you know what we decide.

15. Third-party services and links

The Services include tools, apps and services from third parties, such as payment processors and lenders, carriers, our returns portal, our review, rewards and chat providers, identity-verification services (such as GovX ID), and links to other websites. We don't control these third parties and aren't responsible for their websites, content, products or practices, and your use of them may be subject to their own terms and privacy policies. A link to a third-party site isn't an endorsement. If you buy our products through Shopify's Shop app, your purchase is from us and these Terms apply to it; the Shop app's own terms cover your use of the app. Section 21 applies to a Shop app purchase only if you have accepted these Terms after seeing the notice that Section 1.4 describes. Nothing in this section limits our responsibility for the products we sell you or for the service providers we use to provide the Services.

16. Relationship with Shopify

Québec, EU and UK: the last sentence of this section (the release of Shopify) does not apply to consumers in Québec, the EU or the UK.

Mother Earth Labs USA is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Mother Earth Labs USA. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Mother Earth Labs USA, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Mother Earth Labs USA.

17. Privacy, communications and chat

17.1 Privacy. Our Privacy Policy explains how we collect, use and share personal information, including through cookies and similar technologies, and the choices you have. You may share health-related information with us, for example in a sign-up form that asks about your interests, chat or a review. Our email sign-up pop-up currently asks you to choose an interest, such as Rest or Gut Health, to get its discount, and it doesn't ask for separate consent to collect that choice. If you live in Washington or Nevada, our Consumer Health Data Privacy Policy also explains how we handle it. Shopify also processes some personal information under its own privacy policy, and our service providers may process information outside your country. Accepting these Terms is not consent to any use of your information that legally requires separate consent.

17.2 Order and account messages. When you place an order or create an account, we may email you about your orders, account, subscription, product safety notices or recalls, and changes to these Terms. Once our text program starts, if you choose to receive order updates by text, we may text you about your orders. These messages aren't marketing.

17.3 Marketing messages. We send marketing emails or texts only if you agree to receive them, separately from these Terms. The one exception: if you enter your email address at checkout and don't finish your order, we may email you a reminder about it (Section 12.2 of our Privacy Policy). Agreeing to receive marketing texts is not a condition of purchase. You can stop marketing texts by replying STOP (or a word such as QUIT, END, CANCEL, UNSUBSCRIBE, REVOKE or OPT OUT) or by telling us in any other reasonable way. You can stop marketing emails using the link in any of them or by contacting us. We'll honor your request promptly: within 5 business days for emails and within 10 business days for texts. We don't send marketing texts or offer text sign-up yet. If you sign up for text messages once we do, our SMS Terms apply, and message and data rates may apply.

17.4 Electronic communications. To the extent the law allows, you agree that we may provide agreements, notices, disclosures and other communications to you electronically, by email or by posting them on the Services. You need internet access, a current browser and an email account to receive them. You can get a free paper copy, update your email address or withdraw this consent at any time by contacting us. Where a law requires a specific consent process for a notice, we'll follow it.

17.5 Customer support records. Every chat and email with customer support is stored, and may be monitored, so we can help you, keep records and train our team. Calls may be recorded too; if a call is recorded, we'll tell you at the start of the call. This is done by us and by the service providers that run our phone, chat and helpdesk systems. Our Privacy Policy explains more.

17.6 Chat, email and our AI support assistant. When you use our website chat or email customer support, our AI support assistant may reply first instead of a person. It's an automated tool (a chatbot) that uses artificial intelligence (AI) to write its replies, not a person. Email replies from our AI support assistant say so at the start and end. In chat, messages from the assistant may be marked as automated. You can ask for a team member at any time, in the chat or by replying to the email (for example, reply "team member"), and a person will reply during support hours (Section 26). If you don't hear from a person by the end of the next business day, please call us at (210) 408-2800. Don't use chat or email for medical emergencies, and please don't share more health information than you need to. The assistant may not recognize a report of a side effect or reaction. To make sure a person sees yours, ask for a team member in your message, or call or email us as Section 6.6 explains.

Québec, EU and UK: the next paragraph does not apply to consumers in Québec, the European Union or the United Kingdom.

Our AI support assistant can explain our policies and tell you about our current public offers, but it can't create discount codes, issue refunds or make exceptions to these Terms. If it tells you something that conflicts with these Terms or our policies, contact us and we'll work with you to resolve it fairly.

18. Disclaimers

18.1 Your statutory rights come first. Nothing in this section limits rights you have under consumer laws that can't be waived, including the rights described in Section 23.

Québec: Section 18.2 does not apply to consumers in Québec.

18.2 Website and content. We work to keep the Services accurate and available. To the fullest extent permitted by law, however, the Services and their content are provided "as is" and "as available." To the same extent, we don't promise that the Services will be uninterrupted, error-free or secure, or that the information on them is complete or current. This Section 18.2 doesn't apply to our products or to the information we give you about them before you order.

18.3 Products. Our products are sold subject to the descriptions and directions on their labels. Any warranties the law implies still apply. We don't promise that any product will produce a particular result for you.

19. Limitation of liability

19.1 What we don't limit. Nothing in these Terms excludes or limits:

  • liability for death or personal injury;
  • liability for fraud, gross negligence or willful misconduct;
  • liability for violating the law;
  • any remedy available to you under a consumer-protection law, such as the Texas Deceptive Trade Practices Act or the California Consumers Legal Remedies Act, including statutory, multiple or punitive damages and lawyers' fees; or
  • any other liability the law doesn't allow us to limit.

Québec: Sections 19.2 and 19.3 do not apply to consumers in Québec.

19.2 Indirect losses. Except as stated in Section 19.1, and to the extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, savings or data. This also protects our staff, suppliers, service providers and licensors.

19.3 Overall limit. Except as stated in Section 19.1, and to the extent the law allows, our total liability for all Claims about the Services or our products is limited. It is the amount you paid for the products or Services involved, or US $100, whichever is more.

20. Indemnity

Québec: Section 20 does not apply to consumers in Québec. It also does not apply to consumers in the rest of Canada, the EU or the UK.

You agree to indemnify us against third-party claims, and the resulting losses and reasonable legal fees, that arise from:

  • Your Content, but never because of an honest review, rating or opinion, or any other communication protected by the Consumer Review Fairness Act;
  • your unauthorized resale of our products; or
  • your intentional violation of the law.

This doesn't apply to the extent a claim is caused by our negligence, misconduct, breach of these Terms or a product defect. We'll tell you promptly about any claim, and you may take part in the defense with a lawyer of your choice at your expense. We won't settle a claim in a way that requires you to pay money or admit fault without your consent.

21. Dispute resolution and arbitration (US customers)

THIS SECTION 21 DOES NOT APPLY TO CONSUMERS IN QUÉBEC. IT APPLIES ONLY IF YOU LIVE IN THE UNITED STATES. PLEASE READ IT CAREFULLY. IT AFFECTS HOW DISPUTES ARE RESOLVED.

21.1 Who this section applies to. This Section 21 applies only if you live in the United States. It does not apply to anyone who lives outside the United States, including consumers in Canada, the European Union, the United Kingdom, Australia, New Zealand and Hong Kong. It also does not apply to purchases through a wholesale account (Section 3.5). It applies to you only if you have accepted these Terms after seeing the notice that Section 1.4 describes, which our cart and product pages don't show yet (see Sections 4.5 and 15 for purchases made in person or through the Shop app).

21.2 Try to resolve it informally first. Most concerns can be resolved quickly by contacting customer support. Before starting an arbitration, you and we each agree to send the other a written notice of the dispute ("Notice of Dispute") and try to resolve it informally. This step doesn't apply to small-claims cases or to Claims under the Limited Warranty in Section 8.5.

  • Your Notice of Dispute must be signed by you (an electronic signature is fine, and your lawyer may send it for you). It must include your name, address, email address, order number (if any), a description of the Claim and the relief you want. Email it to customersupport@motherearthlabs.com with the subject line "Notice of Dispute," or mail it to the address in Section 26, Attn: Legal Notices.
  • Ours will be signed by an authorized representative and sent to the email or postal address we have for you.
  • For 60 days after a Notice of Dispute is received, you and we will try in good faith to resolve the dispute, including through an individual phone or video call if either of us asks. Your lawyer may join the call with you.
  • Any statute of limitations and filing deadline is paused (tolled) from the date a Notice of Dispute is sent until 30 days after this 60-day period ends.

If the dispute isn't resolved within 60 days, either of us may start arbitration.

21.3 Agreement to arbitrate. A "Claim" means any dispute, claim or controversy between you and us arising out of or relating to these Terms, the Services, products you buy from us, our marketing or your relationship with us. It doesn't matter whether it is based on contract, statute, tort, fraud or any other legal theory. You and we agree that any Claim will be resolved by binding individual arbitration instead of in court. This Section 21 also applies to Claims that arose before you first accepted it, including Claims about earlier orders (despite Sections 24.1 and 25.1), but not to Claims in any lawsuit, including a proposed class action, filed before then. The Federal Arbitration Act (9 U.S.C. § 1 and following), including its procedural provisions, governs the interpretation and enforcement of this Section 21.

21.4 Exceptions. Either of us may:

  • bring an individual Claim in small-claims court if it qualifies and stays there;
  • bring a Claim for breach of the Limited Warranty in Section 8.5 in court, individually as Section 21.9 provides;
  • ask a court to stop the infringement or misuse of intellectual property; and
  • bring a request for public injunctive relief in court, but only as Section 21.9 provides.

21.5 Arbitration rules. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules and Mediation Procedures and, where they apply, its Mass Arbitration Supplementary Rules. The version of those rules in effect when the arbitration starts applies, as modified by this Section 21. The rules are available at www.adr.org. If the AAA is unable or unwilling to administer the arbitration, you and we will agree on another administrator, or a court will appoint one. A single arbitrator will decide the dispute.

21.6 Fees. If you start an arbitration, you'll pay only the consumer filing fee set by the AAA's rules, and we'll reimburse it if you win. We'll pay all other AAA administrative fees and arbitrator compensation, and we'll pay them on time, within any deadline the law sets. Each party pays its own lawyers' fees and costs unless the arbitrator awards them under applicable law. We won't seek our lawyers' fees from you unless the arbitrator finds your Claim was frivolous or brought for an improper purpose.

21.7 How the arbitration works. The arbitration will be conducted by video or phone, or based on written submissions, unless the arbitrator decides an in-person hearing is needed. Any in-person hearing will take place in the county where you live, unless we both agree otherwise. If you live in California or your Claim arose in California, any hearing will take place in California. The arbitrator will apply the same law and limitations periods a court would apply and may award any individual relief a court could award, including statutory damages, lawyers' fees and individual injunctive relief. The arbitrator will issue a written decision, and judgment on the award may be entered in any court with jurisdiction.

21.8 Who decides arbitrability. The arbitrator decides all issues about the scope, interpretation, validity and enforceability of this Section 21, except that a court decides:

  • whether a Claim qualifies for small-claims court;
  • the validity and enforceability of Sections 21.9 and 21.10;
  • whether you opted out under Section 21.11;
  • disputes about changes under Section 21.12; and
  • any request for public injunctive relief.

21.9 Individual claims only; class action and jury trial waiver. You and we may bring Claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may award relief only to the individual party seeking it and only to the extent needed to resolve that party's individual Claim. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. These waivers apply to every Claim that is arbitrated and, to the extent the law allows, to Claims decided in court under Section 21.4. Public injunctive relief is relief whose main purpose is to stop unlawful acts that threaten future injury to the general public. If you request it and the law that applies to your Claim does not allow that request to be waived or arbitrated, a court will decide that request after the arbitrator decides your individual Claims. The court case will be paused until then. If a court decides that this Section 21.9 can't be enforced for a particular Claim or request for relief, only that Claim or request will be removed from arbitration and decided in court, never in a class arbitration.

21.10 Mass filings. If 25 or more similar Claims are filed against us or by us with the help of the same or coordinated lawyers or organizations, the AAA's Mass Arbitration Supplementary Rules and related fee schedule will apply. Each claimant must send an individual Notice of Dispute under Section 21.2.

21.11 30-day right to opt out. You can reject this Section 21 by sending us an opt-out notice within 30 days after you first accept a version of these Terms that includes this Section 21. Email it to customersupport@motherearthlabs.com with the subject line "Arbitration Opt-Out," or mail it to the address in Section 26, Attn: Legal Notices. Include your name, mailing address, the email address you use with us and a clear statement that you want to opt out of arbitration. Opting out won't affect any other part of these Terms. If you opt out, disputes will be resolved in court under Section 22.

21.12 Changes to this section. We'll tell you about any change to this Section 21 (other than the address for notices) at least 30 days before it takes effect, as Section 24.1 describes. You may reject the change by sending us written notice within 30 days after it takes effect, and the version that applied before the change will continue to apply to you. A change to this Section 21, or its removal from these Terms, will never apply to a Claim that arose, or that either of us had notice of, before the change took effect.

21.13 Severability. Except as stated in Section 21.9, if any part of this Section 21 is found to be unenforceable, that part will be removed and the rest of this Section 21 will remain in effect. If all of this Section 21 is found to be unenforceable, Section 22 will apply instead.

22. Governing law and courts

22.1 Governing law. These Terms and any Claim are governed by the laws of the State of Texas and applicable US federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules. This choice of law does not deprive you of the protection of the mandatory provisions of the law of the US state or territory, Canadian province or territory, or country where you live. If you live in California or your Claim arose in California, California law governs that Claim, and any arbitration hearing will take place in California. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Québec: Section 22.2 does not apply to consumers in Québec.

22.2 Courts. This section applies to Claims that are not arbitrated under Section 21. To the extent permitted by law, you and we agree that those Claims will be brought in one of these courts:

  • the state courts located in Bexar County, Texas; or
  • the United States District Court for the Western District of Texas, San Antonio Division.

We each consent to the personal jurisdiction of those courts. This does not prevent you from bringing a Claim in your local small-claims court, or in any other court where the law gives you the right to sue. If you live in Texas, venue for a lawsuit is set by Texas statutes, including Texas Business and Commerce Code § 17.56. If you live in Canada, the EU, the UK, Australia, New Zealand or Hong Kong, Section 23 explains where you can bring a Claim.

23. Region-specific terms

23.1 United States

California. Under California Civil Code § 1789.3, California residents are entitled to the following notice. The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs can be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by phone at (916) 445-1254 or (800) 952-5210.

New Jersey. If you live in New Jersey, Sections 19.2 and 19.3 do not limit any remedy available to you under the New Jersey Consumer Fraud Act, the New Jersey Products Liability Act or the New Jersey Punitive Damages Act. Section 20 applies to you only for Your Content and unauthorized resale.

23.2 Canada

Your provincial rights. Nothing in these Terms limits your rights under the consumer-protection laws of your province or territory, which apply to you despite Section 22.1.

Disputes. Section 21 (arbitration and class action waiver), Section 22.2 (courts) and Section 20 (indemnity) do not apply to you. You may bring a Claim, including as part of a class action where your law allows, in the courts of your province or territory. Sections 19.2 and 19.3 do not apply to products you buy from us.

Your contract copy. Within 15 days after you order, we'll email you a copy of your contract that you can save and print. It will include:

  • your name and address, and the order date;
  • our legal and business names, address, phone and email;
  • a description and the itemized price of each product;
  • shipping charges, taxes and any possible duties and brokerage fees;
  • the total and the currency;
  • the delivery date, carrier and address; and
  • links to these Terms, our Refund Policy and Shipping Policy and, for subscriptions, our Subscription Terms and Cancellation Policy, as they applied to your order.

Cancellation rights under provincial law. Depending on your province or territory, you may cancel your order:

  • within 7 days after you receive your contract copy, if we didn't give you the required information, a chance to accept or correct your order, or a copy you can keep and print. In Québec, if you notice that information was missing only when we deliver or when you receive your card statement, the 7 days start then;
  • within 30 days after the contract date if we don't send your copy within 15 days; or
  • at any time before delivery if we don't deliver within 30 days after the agreed delivery date (or after the contract date if no date was agreed).

You can cancel by email. We'll refund everything you paid, including shipping, within 15 days after you cancel, send you return instructions within 15 days, and pay reasonable return costs. In Québec, the refund also includes amounts you paid to someone else under the contract, such as duties and brokerage fees. If we don't refund a credit-card payment as required, you may ask your card issuer to reverse the charge (in Québec, within 60 days after our failure to refund).

Personal importation. Our products are made for the US market and are not licensed by Health Canada. You are importing them for your own use. We may limit orders shipped to Canada to about a 90-day supply of each product, based on label directions, and to no more than a 90-day supply of each product in any 90-day period. If we find that an order is over that limit, we'll contact you to adjust it before we ship, and we'll refund in full any part of the order we don't ship. If customs refuses or seizes your order, we'll refund you in full, including shipping and any taxes and duties you paid us.

Prices. Prices are in US dollars unless checkout shows otherwise. Section 5.3 explains import duties, taxes and brokerage fees.

23.3 Québec

These provisions apply to consumers in Québec, in addition to Section 23.2.

  • Sections 4.3, 4.4, 18.2, 19.2, 19.3, 20, 21 and 22.2, the last sentences of Sections 3.4 and 16, the last paragraph of Section 17.6, and the parts of Sections 4.2 and 9.5 identified as not applying in Québec do not apply to you.
  • Our product listings are offers, and a contract is formed when you place your order. We will not charge you more than the price shown. If we can't fill part of your order, we'll tell you promptly and refund those items in full, including related shipping and taxes, without affecting your other rights.
  • You benefit from the legal warranties under the Québec Consumer Protection Act (CQLR c. P-40.1), including the warranties that products are fit for their purpose and durable, and under the Civil Code of Québec. Nothing in these Terms limits those warranties.
  • You can cancel your subscription online at any time (Section 9.4). We'll change your subscription price, the products or formulas in your subscription, the shipping charge we set for renewal orders, or any other term of your subscription only with your express consent. We'll ask for your consent at least 30 days before the change would take effect (Section 18.3 of our Subscription Terms and Cancellation Policy).
  • You may bring a Claim in the courts of Québec.

23.4 European Union and United Kingdom

Your mandatory rights. If you are a consumer living in the European Union or the United Kingdom, nothing in these Terms affects the mandatory consumer rights you have under the law of your country. Section 22.1 applies only to the extent it doesn't deprive you of those protections.

Courts. You may bring a Claim in the courts of your country of residence. We may bring a Claim against you only in those courts. Section 21 (arbitration and class action waiver), Section 22.2 (courts) and Section 20 (indemnity) do not apply to you.

Our responsibility to you. Section 18.2 does not apply to our products or to information we give you about them before you order. Section 3.1 does not limit your legal rights if a product doesn't match its description. The last paragraph of Section 17.6 (about our AI support assistant) does not apply to you. Sections 19.2 and 19.3 don't apply to you. Instead, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We aren't responsible for loss or damage that isn't foreseeable. Loss or damage is foreseeable if it is an obvious or likely consequence of our breach. It is also foreseeable if, when the contract was made, you and we both knew, or should reasonably have known, that it might happen (for example, because you told us). We supply products for domestic and private use only, so we aren't responsible for any business losses. This paragraph does not limit our liability for anything in Section 19.1 (including death or personal injury caused by the negligence of our employees, agents or subcontractors), for defective products, or for breach of your statutory rights.

Changes and termination. Changes to these Terms apply only to orders placed after they take effect. We'll suspend or close your account only for a valid reason and, except for serious breach or where the law requires immediate action, with reasonable notice.

Your right to withdraw (cancel). You have the right to withdraw from your contract within 14 days without giving any reason. The withdrawal period ends 14 days after the day you, or a person you name (other than the carrier), take physical possession of the goods. If your order is delivered in several packages, it ends 14 days after you receive the last one. For a subscription, it ends 14 days after you receive the first delivery.

To withdraw, tell us of your decision by an unequivocal statement, for example a letter sent by post or an email. Our details are: High Coast Capital L.L.C., doing business as Mother Earth Labs USA, 24210 Scenic Loop Road, San Antonio, Texas 78255, USA; (210) 408-2800; customersupport@motherearthlabs.com. You may use the model form in Appendix A, but you don't have to. Our website doesn't yet have an online withdrawal function, so please withdraw by email or post. To meet the deadline, it is enough to send your notice before the withdrawal period ends.

Exception for opened products. The right to withdraw does not apply to sealed goods that are not suitable for return for health-protection or hygiene reasons once they have been unsealed after delivery. This applies to our products once the safety seal has been broken. Each separately sealed item (for example, each bottle, tub, pouch or individually sealed stick pack) is treated separately, so you can still withdraw for items that remain sealed. Our 30-day satisfaction promise (Section 8.2) still covers opened products.

Effects of withdrawal. If you withdraw, we will refund all payments we received from you, including delivery costs, without undue delay and no later than 14 days after we are told of your decision. We don't refund any extra cost resulting from your choice of a delivery method other than the least expensive standard delivery we offered. We'll use the same payment method you used, unless you expressly agree otherwise, and you won't pay any fees for the refund. We'll tell you whether we need the goods back. If we do, we may withhold the refund until we receive the goods back or you show proof that you sent them, whichever happens first. If we ask for them, please send them back to 24210 Scenic Loop Road, San Antonio, Texas 78255, USA, or to any closer address we give you, without undue delay and no later than 14 days after you tell us you're withdrawing. The deadline is met if you send the goods before the 14 days have expired. We will bear the cost of returning the goods. You are responsible only for any reduced value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics and functioning.

How this fits with Section 8. Any refund request or return you start within the 14-day withdrawal period, by any method (including our returns portal), is treated as a withdrawal, and this Section 23.4 applies. Where Section 8 gives you more, you get that too: for example, our 30-day satisfaction promise also covers opened products, and we refund the postage for anything we ask you to send back. After the 14 days, Section 8.2 still applies until 30 days after delivery.

Subscriptions. Subscriptions are currently offered for delivery to EU and UK addresses. Your right to withdraw from a subscription is described above. After that, you can cancel at any time as Section 9.4 explains: online in your account, or without logging in by email or phone. Section 18.4 of our Subscription Terms and Cancellation Policy gives the details.

Legal guarantee. We must deliver products that conform to the contract. If a product is faulty or not as described, you have legal rights under the law of your country, which may include repair or replacement, a price reduction or a refund. In the EU, the legal guarantee lasts at least 2 years from delivery. In the UK, the Consumer Rights Act 2015 gives you, among other things, a short-term right to reject faulty goods within 30 days, and you may have up to 6 years (5 years in Scotland) to bring a claim.

Our commercial guarantee. Our promises in Sections 8.2 and 8.5 are given by High Coast Capital L.L.C., doing business as Mother Earth Labs USA (Section 26). They cover all our products, last 30 days from delivery, apply to deliveries in the EU and the UK, and are claimed as Sections 8.4 and 8.5 describe. You are entitled by law to remedies free of charge if goods are not in conformity with the contract, and those remedies are not affected by these promises.

Complaints. Please contact us first using the details in Section 26. We are not required to take part, and do not take part, in dispute resolution proceedings before a consumer arbitration board (alternative dispute resolution entity).

Accessibility. Our Accessibility Statement describes our online store and how we work to make it accessible, as the European Accessibility Act requires.

23.5 Australia

These provisions apply to consumers in Australia.

Your rights under the Australian Consumer Law. Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

Nothing in these Terms excludes, restricts or changes those guarantees, or any other right you have under Australian law that can't be excluded. If a term would do that, it doesn't apply to you to that extent. Section 22.1 applies only to the extent it doesn't take away those protections.

Disputes. Section 21 (arbitration and class action waiver), Section 22.2 (courts) and Section 20 (indemnity) do not apply to you. You may bring a Claim in the courts or tribunals of the Australian state or territory where you live. You may do so individually or, where the law allows, as part of a class action (representative proceeding). We may bring a Claim against you only in those courts or tribunals.

Our responsibility to you. Sections 19.2 and 19.3 don't apply to you. If a product fails a consumer guarantee, we're responsible as the Australian Consumer Law provides. We're also responsible for loss or damage you suffer that is a reasonably foreseeable result of our breach of these Terms or our negligence. We aren't responsible for loss or damage that isn't reasonably foreseeable. We supply products for personal use only, so we aren't responsible for business losses. This paragraph does not limit our liability for anything in Section 19.1. The last sentence of Section 16 (the release of Shopify) and the last paragraph of Section 17.6 (about our AI support assistant) don't apply to you.

Changes and termination. Changes to these Terms apply only to orders placed after they take effect. We'll suspend or close your account only for a valid reason and, except for serious breach or where the law requires immediate action, with reasonable notice.

Returns and our Limited Warranty. Our 30-day satisfaction promise (Section 8.2) is in addition to your rights, and it covers opened products. After those 30 days, the rule in Section 8.3 about opened products applies only if you've simply changed your mind. It doesn't affect your rights if a product has a problem. If a product has a problem covered by the consumer guarantees, we pay the reasonable cost of returning it. Section 8.5 is our warranty against defects. Our Limited Warranty notice for Australia (Section 16.6 of our Refund Policy) gives the details the law requires. Section 16 of our Refund Policy explains returns and refunds.

Personal importation. Our products are made for the US market. They aren't entered in the Australian Register of Therapeutic Goods, and Australia's Therapeutic Goods Administration hasn't evaluated them. We accept an order for delivery to Australia only if you ask us for it (Section 7.6). The person we deliver the order to imports the products for their own use or for an immediate family member's use (a parent, grandparent, spouse, de facto partner, child or ward). The products may not be sold or given to anyone else, so Section 3.4 applies to you only as this paragraph allows. Each order may include no more than a 3-month supply of each product, based on the label directions. We won't send you more than a 15-month supply of a product in any 12 months. Some products aren't available for delivery to Australia, and we'll tell you before you pay. Section 14.8 of our Shipping Policy explains these limits and what happens if an order goes over them.

Prices and taxes. Prices are in US dollars. We don't charge Australian GST. Section 14.8 of our Shipping Policy explains when GST, duty and other charges may be payable on arrival.

Complaints. Please contact us first (Section 26). You can also contact the consumer protection agency in your state or territory, or the Australian Competition and Consumer Commission (ACCC).

23.6 New Zealand

These provisions apply to consumers in New Zealand.

Your rights under New Zealand law. If you buy our products for personal, domestic or household use, you have rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986. We can't exclude those rights by contract, and nothing in these Terms limits them. They apply to you despite Section 22.1.

Consumer guarantees. Our products must be of acceptable quality, match their description and be fit for any particular purpose you told us about. When we arrange delivery, you must receive your order by the date we agreed, or within a reasonable time if we didn't agree on a date. If a product fails a guarantee:

  • if the problem can be fixed and isn't serious, we'll fix it within a reasonable time by replacing the product or refunding you;
  • if the problem is serious or can't be fixed, you can choose a refund or a replacement, or keep the product and claim compensation for its drop in value; and
  • you can also claim compensation for other loss caused by the failure, if it was reasonably foreseeable.

A refund is a refund of the money you paid, to your original payment method. It is never store credit. If a product fails a guarantee and we ask you to send it back, we pay the return shipping.

Disputes. Section 21 (arbitration and class action waiver), Section 22.2 (courts) and Section 20 (indemnity) do not apply to you. You may bring a Claim in the courts of New Zealand, including as part of a representative action where New Zealand law allows. You may also bring a Claim in the Disputes Tribunal, which hears claims up to NZ$60,000. We may bring a Claim against you only in New Zealand.

Our responsibility to you. Sections 19.2 and 19.3 don't apply to products you buy from us, or to any right or remedy you have under the Consumer Guarantees Act or the Fair Trading Act.

Our 30-day satisfaction promise (Section 8.2) and our Limited Warranty (Section 8.5) are in addition to your rights under the Consumer Guarantees Act. New Zealand law doesn't give you a right to cancel an online order just because you change your mind. The rule in Section 8.3 about opened products applies only to change-of-mind requests made after our 30-day satisfaction promise ends. The 30-day period in Section 8.5 doesn't limit the time you have to make a claim under the Act. That time depends on the product and the problem, so please contact us as soon as you notice a problem. Section 17 of our Refund Policy explains returns and refunds.

Personal importation. Our products are made and labeled for the US market. Medsafe and New Zealand Food Safety haven't assessed or approved them. You import them for your own personal use, so Section 3.4 applies to you only as this paragraph allows: you may not sell them or give them to anyone else. Each order may include no more than a 3-month supply of each product, based on the label directions. Some products aren't available for delivery to New Zealand, and we'll tell you before you pay. Section 14.9 of our Shipping Policy explains these limits and what happens if an order goes over them.

Prices and taxes. Prices are in US dollars unless checkout shows otherwise. We don't charge New Zealand GST. Section 14.9 of our Shipping Policy explains when New Zealand Customs may charge GST, duty and fees.

Complaints. Please contact us first (Section 26). For information about your rights, you can also contact Consumer Protection or the Commerce Commission.

23.7 Hong Kong

These provisions apply to consumers in Hong Kong.

Your legal rights. Hong Kong law gives you rights that we can't exclude or limit. For example, under the Sale of Goods Ordinance (Cap. 26), the products we sell you must match their description, be of merchantable quality and be fit for their purpose. Nothing in these Terms limits those rights. Section 22.1 applies only to the extent it doesn't take away protections you have under Hong Kong law.

Disputes. Section 21 (arbitration and class action waiver), Section 22.2 (courts) and Section 20 (indemnity) do not apply to you. You may bring a Claim in the courts of Hong Kong, including the Small Claims Tribunal, which hears claims up to HK$75,000. We may bring a Claim against you only in the courts of Hong Kong.

Our responsibility to you. Sections 19.2 and 19.3 don't apply to you. Instead, we're responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care. Loss or damage is foreseeable if it is an obvious result of our breach, or if you and we both knew it might happen when you ordered. We aren't responsible for loss or damage that isn't foreseeable, or for business losses.

Our 30-day satisfaction promise (Section 8.2) and our Limited Warranty (Section 8.5) are in addition to your rights under Hong Kong law. If a product doesn't meet the standards above, Section 8.3 doesn't stop you from returning it, and we pay the return shipping. Section 18 of our Refund Policy explains returns and refunds.

Personal importation. Our products are made and labeled for the United States, where they are sold as dietary supplements. They aren't registered in Hong Kong as pharmaceutical products or proprietary Chinese medicines, and no Hong Kong authority has evaluated them. We ship them to Hong Kong only for your own personal use, so Section 3.4 applies to you only as this paragraph allows: you may not sell them or give them to anyone else. Each order may include no more than a 3-month supply of each product, based on the label directions. Some products aren't available for delivery to Hong Kong, and we'll tell you before you pay. Section 14.10 of our Shipping Policy explains these limits and what happens if an order goes over them.

Prices and taxes. Prices are in US dollars unless checkout shows otherwise. Hong Kong doesn't charge GST, VAT or customs duty on our products, and we don't add any. Section 14.10 of our Shipping Policy explains import declarations.

Complaints. Please contact us first (Section 26). You can also ask the Hong Kong Consumer Council for help.

24. Changes, suspension and termination

24.1 Changes to these Terms. We may change these Terms to reflect changes in the law, our products, the Services or our business practices, or for security or legal reasons. We'll post the updated Terms on this page with a new "Last updated" date. If a change is significant, we'll tell you at least 30 days before it takes effect, unless the law requires the change sooner. We'll tell you by email if you have an account or active subscription, or by a notice on the Services. A change to Section 21 is always treated as significant. Changes apply only to orders placed and use of the Services after they take effect; the Terms in effect when you placed an order apply to that order. Except as Section 21.3 provides, changes don't apply to disputes that arose before the change. Changes to an active subscription, including changes to our Refund Policy that affect renewal orders, are made only under Section 9.5 (Section 23.3 in Québec). If you live in Québec, a change to these Terms never changes a contract already formed with you, such as an order, a subscription or your rewards membership. The only exceptions are those explained in Section 23.3 of these Terms and Section 9.5 of our Rewards Program Terms. If you don't agree to a change, you can stop using the Services, close your account or cancel your subscription before it takes effect, at no cost. Section 21.12 also applies to changes to Section 21.

24.2 Suspension and termination. We may suspend or close your account, or restrict your access to the Services, if you materially breach these Terms, if we reasonably suspect fraud, unauthorized resale or misuse, or if the law requires it. Where reasonable, we'll give you notice and a chance to fix the problem first. If we close your account, we'll still ship or refund any order you have paid for (unless it is fraudulent), and we'll stop any future subscription charges. You may close your account at any time by contacting us. If you do, we'll cancel your subscriptions first.

24.3 What continues after termination. Sections 8, 10.2, 11, 12, 16 and 18 to 25, and any other terms that by their nature should continue, continue to apply after these Terms or your account end.

25. General terms

25.1 Entire agreement. These Terms, together with the documents that are part of them under Section 1.3, are the entire agreement between you and us about the Services. They replace earlier versions for orders placed after this version takes effect.

25.2 Severability. If any provision of these Terms is found to be unenforceable, it will be enforced to the greatest extent permitted, and the rest of these Terms will remain in effect. Sections 21.9 and 21.13 explain how this works for Section 21.

25.3 No waiver. If we don't enforce a provision right away, we can still enforce it later.

25.4 Transfer. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours to an affiliate or to a successor in a merger, acquisition or sale of our business, as long as your rights are not reduced, and we'll tell you if this happens. If you object, you may cancel any unshipped order or subscription within 14 days after our notice for a full refund of amounts you paid in advance.

25.5 Events beyond our control. We aren't responsible for delays or failures caused by events beyond our control that we couldn't reasonably foresee or avoid, such as natural disasters, epidemics or government action. If this happens, we'll tell you and work to limit the effect. If a delay is significant, you may cancel and receive a refund for products you haven't received. This doesn't affect your rights under Sections 7.2 and 23.

25.6 Interpretation. Headings are for convenience only. "Including" means "including without limitation." "Business day" means Monday–Friday, excluding US federal holidays. "Claim" has the meaning given in Section 21.3, and that meaning applies throughout these Terms, even where Section 21 doesn't apply to you. "United States" and "US" include Washington, DC and the US territories.

25.7 Language. These Terms are written in English. If you live in Québec, you are entitled to receive these Terms in French first, and they apply to you in English only if you expressly choose English after receiving the French version. If versions in different languages differ: if you are a consumer in Québec, the EU or the UK, the interpretation more favorable to you applies; everywhere else, the English version controls.

25.8 Notices. We may give you notices by email to the address associated with your account or order, or by posting them on the Services. You can cancel a subscription online (Section 9.4). You can send any notice canceling an order or subscription, or asking for a refund, by email to customersupport@motherearthlabs.com. Notices of Dispute, arbitration opt-outs and rejections of changes to Section 21 may be sent by email or mail as Sections 21.2 and 21.11 describe. For other legal notices to us, we recommend mail to the postal address in Section 26, Attn: Legal Notices, with a copy by email. A notice you send only by email is still valid.
